Terms of Service

Draft pending legal review. This is the current wording WhatTrust intends to use; it has not yet been approved by lawyers. (terms-draft-2026-10-28)

The key points in plain language

  • What WhatTrust is. AI software for research, planning, analysis and running your business — not a business opportunity, franchise, investment or source of guaranteed income. We do not supply customers, accounts or locations.
  • Your business is yours. You decide and control your business: decisions, financing, operations, suppliers, communications, licences and taxes.
  • No guaranteed results. We do not guarantee revenue, profit, employment, customers, contracts, sales or success. Many new businesses earn little or nothing.
  • Research has limits. Sources can be incomplete or out of date. Reports separate verified evidence from assumptions — check both before you decide.
  • AI can be wrong. Review every output. Get legal, tax, accounting, financial or licensing advice from a qualified professional where it is required.
  • Other companies' services. Connected providers (email, social, stores, payments, domains) have their own approvals, rules, fees and availability, separate from WhatTrust.
  • Earnings figures are illustrations. They show possible outcomes under stated assumptions, keep revenue, costs, profit and your own income separate, and can be zero or negative. The optimistic case is conditional, not the expected result.
  • What you pay. $89 for the first month, then $149 a month, renewing until you cancel online. Extra research ($19) and optional services are separate and only charged when you choose them.
  • Refunds. Explained by category in the refund policy. Paid research has real costs once it starts. Rights your local law gives you, such as a withdrawal period, always apply.
  • Limits of responsibility. Our responsibility is limited where the law allows. These limits never cover fraud or anything the law does not let us exclude.

This summary helps you understand the full document below; if they differ, the full document applies, and your rights under local law are never reduced.

1. Who we are and what these terms cover

1.1 WhatTrust (the "Service", available at whattrust.com) is operated by Twilight Media Design Corporation ("WhatTrust", "we", "us"), a company incorporated in (to be confirmed), with its registered address at (to be confirmed).

1.2 These Terms of Service ("Terms") are a contract between you and us. They apply when you use the free assessment, create an account, subscribe, or use any part of the Service.

1.3 The following documents form part of these Terms. If they conflict with these Terms on their own subject, the more specific document applies:

  • the Subscription, Refund and Cancellation Policy;
  • the Privacy Policy (it explains how we handle personal data; it is not a contract term you "agree" to where the law treats it only as a notice);
  • the Business Risk Acknowledgment;
  • the AI Agent Terms, which cover the AI Business Agent and AI agent credits;
  • the Website and Domain Service Terms, which cover your included website, any additional website and connecting a domain you own.

1.4 Your local law. Some countries, states and provinces give consumers rights that a contract cannot remove. Nothing in these Terms removes or limits those rights. Where a section says it does not apply in your country, or where your local law does not allow it, that section applies only to the extent the law allows. See section 21.

2. Eligibility and accounts

2.1 You must be at least 18 (to be confirmed) years old, or the age of legal majority where you live if that is higher, to create an account or subscribe. The Service is not directed at children. At checkout, the box in which you accept these Terms also asks you to confirm that you are at least 18, or the age of majority where you live if that is higher, and we record that confirmation.

2.2 The Service is designed to help you evaluate, build and run a business. If you use it for an existing company, you confirm you are authorised to bind that company, and "you" includes that company. If you are an individual buying for yourself, consumer-protection laws may still apply to you, and we treat you as a consumer where the law requires.

2.3 You sign in with a one-time code sent to your email address. There is no password. You are responsible for keeping access to your email account secure, and for activity under your account that results from your failure to do so. Tell us promptly at (to be confirmed) if you believe someone else has accessed your account.

2.4 You must give accurate information, including your billing country. Your billing country determines which checkout acknowledgments, consumer rights and policy terms are shown to you. Choosing a country that is not yours to obtain different terms is a breach of these Terms.

2.5 One person or business may not open multiple accounts to obtain the first-month price more than once or to avoid a suspension.

3. The Service

3.1 What WhatTrust is. WhatTrust is AI-assisted software that gives you research, planning, analytical and operational tools for a business. You pay for access to that software and for the work it performs. The free assessment asks about your goals, skills, experience, capital, time, location, languages and income goals, and gives you a preliminary summary. Each paid business subscription (section 4) covers one business and includes, for that business:

  • personalised analysis and market research, including one Deep Research in one of three journeys: Discover (compare up to five business opportunities that may fit you), Validate (test a specific idea you describe) and Grow (analyse an existing business) (section 5);
  • an execution and growth plan: roadmap, tasks, offers, experiments and progress tracking;
  • one website for that business: generation, revisions, hosting with SSL on a WhatTrust address, and connection of a domain you already own, with no separate monthly website charge while the business subscription is active (Website and Domain Service Terms);
  • access to the AI Business Agent with its standard actions (AI Agent Terms);
  • CRM, sales, marketing and money tools: potential and existing customers, contacts, pipeline, notes, follow-ups, offers and quotes, income and expense records, and financial models;
  • customer-acquisition tools (section 3.5);
  • a one-time allocation of 20 introductory AI agent credits for each eligible business (section 5A);
  • weekly check-ins and in-app notifications (for example follow-ups due or overdue, research ready, website enquiries and expired connections).

3.2 What WhatTrust is not. WhatTrust is not a business opportunity, a franchise, an investment or a source of guaranteed income. WhatTrust does not:

  • sell you a business, franchise, licence, inventory, equipment or accounts;
  • sell you leads, contact lists or customer data, or guarantee that you will obtain any customer, client, buyer, outlet, account or location;
  • buy back anything you produce, or promise that anyone will buy it;
  • refer you to lead-generation or "locator" companies for a fee;
  • offer you a share of any business, a return on money you pay us, or an income in exchange for your subscription;
  • contact anyone on your behalf without your approval of each message;
  • give investment, securities, legal, tax, accounting or financial advice. Research does not cover securities, crypto-assets, forex, trading or investment syndications.

The opportunities that research identifies are directions for you to evaluate, based on evidence about markets. They are not offers of a business made by us or by anyone else. Guidance about finding your first customer, and the customer-acquisition tools in section 3.5, help you look for customers yourself; whether and how to contact anyone, and whether anyone buys, is up to you and them.

3.3 Optional purchases. The following are optional. No basic step of your execution plan requires them. Each is sold only inside its own flow, shows its full price before you agree, and is governed by the document named in brackets:

  • an additional business: a separate business subscription, at the price shown before you buy (section 4.1A; Subscription, Refund and Cancellation Policy);
  • an additional website for the same business: US$39 per month for each additional website, monthly until you cancel (Website and Domain Service Terms);
  • additional Deep Research: US$19 per research, one-time (section 5.6);
  • AI agent credit top-ups: US$20 for 2,000 credits, one-time (section 5A; AI Agent Terms).

Prices are plus any applicable tax. Each optional purchase needs its own separate, unticked checkbox stating the exact amount you will be charged and whether it is one-time or recurring. Nothing is charged until you tick it and confirm, and we record that consent. The AI Business Agent never buys anything for you (AI Agent Terms).

3.4 Not included. WhatTrust does not sell or register domain names; you buy and renew a domain from a registrar of your choice and pay that registrar directly. WhatTrust does not offer email mailboxes on your domain. Advertising spend, third-party subscriptions, platform fees and other third-party services are not included (section 10.1A).

3.5 Customer-acquisition tools. For each business, the Service can:

  • build an acquisition strategy from that business's own records and existing research (its model, buyer segments, markets and channels);
  • where the business sells to organisations, find organisations that match a buyer segment in public business listings (currently OpenStreetMap, under its Open Database Licence, attributed "© OpenStreetMap contributors"). Results are candidates for you to review. Listings can be incomplete or out of date. A phone number or website shown in a listing is a business contact detail; it is not consent to receive marketing. Candidates you do not save are kept for 90 days; organisations you save to your CRM keep their source and attribution. WhatTrust does not collect email addresses from listings, does not scrape websites and does not buy contact data. No licensed commercial contact-data provider is connected today;
  • keep a per-business do-not-contact list (section 6.6).

These tools do not consumer-profile individuals and do not search for consumers.

3.6 Changes to features. We may improve, change or withdraw features. We will not remove a core part of the Service you have paid for during a paid period without giving you a remedy under the Subscription, Refund and Cancellation Policy.

3.7 Availability. We aim to keep the Service available, but it may be interrupted for maintenance, security, provider outages or reasons outside our control. Remedies for significant outages are in the Subscription, Refund and Cancellation Policy.

4. Subscription, price and renewal

4.1 One subscription per business. Each WhatTrust business subscription is for one business and includes the services listed in section 3.1 for that business. Records, websites, research, AI Business Agent information and acquisition data of one business are kept separate from your other businesses.

4.1A Additional businesses. Each additional business you run in the same account is a separate subscription, with its own included services, at the price shown before you buy. You can add a business only while your first business subscription is active.

4.2 Price of your first business.

  • First month: US$89 (plus any applicable tax), only if you have never had a paid WhatTrust subscription on any account. This first-month price is available once per eligible customer.
  • Then: US$149 per month (plus any applicable tax), automatically, every month, until you cancel.
  • If you are not eligible for the first-month price (for example, you are re-subscribing after cancelling), you pay US$149 from the first month.
  • Prices are in US dollars. Your bank may apply currency conversion or foreign-transaction fees; we do not control those.

4.3 When you are charged. You are charged when you complete checkout, and then on the same day each following month (the "renewal date") for each business subscription. Payment is in advance for each monthly period.

4.4 What you agree to at checkout. Before you enter payment details, our checkout page shows the price, that the subscription renews automatically every month until you cancel, the renewal price, how to cancel and a summary of when refunds are given. It then asks you to tick separate, unticked boxes: (a) agreement to automatic renewal; (b) agreement to these Terms and the Subscription, Refund and Cancellation Policy, and confirmation that you are at least 18 or the age of majority where you live; (c) the Business Risk Acknowledgment; and (d) a request that your access to the Service start immediately after payment. You cannot pay until each box is ticked. We keep a record of exactly what you accepted (see the Privacy Policy).

4.5 Activation. A business subscription and its paid workspace activate only after our payment processor, Stripe, confirms payment to us. We do not start paid research or any other paid AI processing before that confirmation. Payments in our preview environment use Stripe's test mode and no real charge is made.

4.5A Research does not start automatically. Paying for a business subscription does not start its included Deep Research. It starts only when you press "Start my research". Until then, the credit stays unused (section 5).

4.6 Renewal does not add research or credits. Monthly renewal continues your access to the workspace, website, AI Business Agent, CRM and other subscription features for that business. It does not add a new Deep Research credit or new introductory AI agent credits.

4.7 Cancellation. You can cancel a business subscription at any time online in Account → Subscription & billing. Cancelling stops future renewals of that subscription. You keep access to that business until the end of the period you have already paid for. No automatic refund is issued when you cancel. Until that period ends, you can undo a scheduled cancellation with Resume, which restores renewals; we record that choice. We confirm your cancellation by email, including the date your access ends (section 4.12). Details, and when refunds are given, are in the Subscription, Refund and Cancellation Policy.

4.7A What happens to a business when its subscription ends.

  • Workspace and data. Paid features for that business stop. Your records are kept as described in the Privacy Policy, and you can export them (section 16A).
  • Included website. While the subscription is active, and until the end of the period you have paid for, the included website stays published. After that, it stops being served on a domain you connected.
  • Additional websites have their own monthly plans and are cancelled separately (Website and Domain Service Terms).
  • AI agent credits stay in your account balance but cannot be used while you have no active business subscription (AI Agent Terms).

4.8 Failed payments. If a renewal payment fails, that subscription becomes past due and your account shows "payment needs attention". You can update your card through Stripe's customer portal, which we limit to updating your card and viewing your invoice history. While it is past due, paid features (including research and AI work) are paused, and any research that has not yet started is cancelled with its credit released. Stripe may retry the payment. If a later payment succeeds, access resumes.

4.9 Price changes. We may change the monthly price for future periods. We will tell you by email at least 30 (to be confirmed) days before the new price applies, and you can cancel before it does. Where your local law requires your prior consent to a price increase, we will ask for it, and if you do not give it the increase will not apply to you.

4.10 Taxes. Prices exclude taxes unless stated. Stripe collects your billing address and may collect a tax ID. Applicable taxes are shown before you pay.

4.11 Withdrawal (EU/EEA, UK, Turkey and South Korea). If your checkout region is in the EU/EEA, the United Kingdom, Turkey or South Korea, you can withdraw from your subscription within 14 days of its start using Withdraw from contract in Account → Subscription & billing. The effect of withdrawing, and what is refunded, is explained in section 9 of the Subscription, Refund and Cancellation Policy.

4.12 Confirmations we send you. We send these confirmations by email to the address on your account:

  • a purchase confirmation, with the renewal price, billing frequency, how to cancel and a summary of when refunds are given;
  • a cancellation confirmation when you cancel, with the date your access ends;
  • a withdrawal confirmation when you withdraw under section 4.11;
  • once a year, a reminder of your renewal terms (price, frequency and how to cancel);
  • a notice when a payment fails;
  • the price-change notice in section 4.9.

4.13 Service limits and fair use. A subscription does not include unlimited AI usage, research, discovery or hosting. To keep the Service sustainable, each business has an internal monthly limit on the cost of the AI and data-provider work done for it. When that limit is reached, advanced AI work for that business (for example AI Business Agent reasoning, discovery and other optional provider work) may pause until the next billing month, even if you still have AI agent credits; the Service tells you when this happens. Daily limits also apply to some actions (for example discovery runs, emails sent from a connected mailbox and AI agent credit use). Website fair use is described in the Website and Domain Service Terms.

5. Deep Research credit

5.1 One credit per business, not monthly. Each business subscription includes one Deep Research credit for as long as that subscription continues without interruption. It does not renew or reset each month. It has no cash value and cannot be transferred, sold or exchanged for money.

5.2 Re-subscribing. If you cancel and later start a new subscription for the same account, the new subscription does not include a new Deep Research credit. Any unused credit from your earlier subscription can be used only while you have an active subscription.

5.3 How a credit is used.

  • Not started: the credit stays unused until you press "Start my research". Research never starts automatically when you pay.
  • Reserved: when you press "Start my research", the credit is reserved for that job.
  • Consumed: the credit is consumed only when we deliver a report that meets our published evidence-quality standard.
  • Released: if research fails, cannot be completed, is cancelled because the subscription stopped being active, or ends without any opportunity strong enough to meet the standard ("no strong match"), the credit is released back to you and you can run research again.

5.3A Starting research during a withdrawal period. If your checkout region is in the EU/EEA, the UK, Turkey or South Korea and you start Deep Research within 14 days of your subscription start, we first ask you to confirm, in a separate step, that you are asking for the research to start now, that if you then withdraw you will pay for the service provided up to that point, and that you lose your right of withdrawal once the service has been fully provided. Research starts only after you confirm. We record that confirmation.

5.4 Fewer than five results. A report may contain fewer than five opportunities when the evidence for others is weak. That is a valid result, not a defect. We will not add weak opportunities just to fill the list.

5.5 Evidence-quality standard. (to be confirmed)

5.6 Additional research. Additional Deep Research costs US$19 per research (plus any applicable tax), as a one-time purchase that you choose explicitly by ticking a separate, unticked box that states the charge. It is not a subscription and does not renew. The additional credit is added only after Stripe confirms the payment to us, and the research starts only when you press "Start my research". If that research is not delivered or fails, the credit is returned to you under section 5.3.

5.7 Continuing to use, revise or optimise your workspace, roadmap or existing business plan, viewing or comparing completed reports, and asking the AI Business Agent about them never uses a Deep Research credit.

5A. AI agent credits

5A.1 Some advanced AI tasks are metered and use AI agent credits. The credit cost of a metered task is shown before you confirm it, and credits are used only with your confirmation. Standard actions of the AI Business Agent included in your subscription (for example building or revising your website, saving drafts and updating CRM records) do not use credits.

5A.2 Introductory credits. When an eligible business is first activated, it receives a one-time allocation of 20 introductory AI agent credits. Introductory credits have no cash value, are not refundable and do not renew. The Service does not currently expire them; if an expiry is introduced, it will be stated in these Terms and in the AI Agent Terms before it applies to credits granted afterwards. Businesses that existed before 2026-10-28 do not receive introductory credits retroactively.

5A.3 Top-ups. You can buy additional credits at US$20 for 2,000 credits (plus any applicable tax), as a one-time purchase with its own separate checkbox. Credits are added only after Stripe confirms the payment. There is no automatic recharge.

5A.4 Credits are held in one balance for your account and can be used for any of your active businesses. The details, including refunds of top-ups, are in the AI Agent Terms.

6. Your responsibilities

6.1 You make your own decisions. You are responsible for independently evaluating every opportunity, assumption, forecast, recommendation and draft before you rely on it, and for deciding whether and how to start, run or change a business. Where a decision is significant, you should take independent professional advice (legal, tax, accounting, financial or industry-specific).

6.1A Your business is independent of us. Any business you start or run is yours alone. You control and are responsible for its decisions, financing, spending, operations, pricing, suppliers and contractors, staff, customer communications, marketing, website content, licences, permits, registrations, insurance and taxes. We are not your partner, employer, agent, franchisor, investor or adviser, and these Terms do not create a partnership, joint venture, employment, agency, franchise or fiduciary relationship. We do not act for you with any third party, except to carry out an action you have specifically approved in the Service (for example publishing a website version or sending a message you approved).

6.2 Your business must be lawful. You are responsible for making sure that your business, products, services, website, marketing, pricing and operations comply with the laws that apply to you, including licensing, registration, tax, consumer-protection, advertising, data-protection, electronic-marketing, employment, product-safety and import/export laws in every place you operate or sell.

6.3 Accurate inputs. Research, guidance, websites and drafts are based on what you tell us. You are responsible for the accuracy and completeness of your assessment answers, idea descriptions, business details and financial information. Inaccurate inputs can produce unsuitable results.

6.4 Information about other people. When information about other people is in your CRM, whether you enter it, import it from a connected account, save it from a business listing, or receive it as an enquiry through your website:

  • you decide what is collected and why, and you are the controller (or equivalent "business" or "personal information handler") of that information; we process it on your behalf, only to provide the Service to you (Privacy Policy, section 6);
  • you must have a lawful basis to collect and use it, and must give those people any notices the law requires, including a privacy notice on your website;
  • you must not add special-category or sensitive information (for example health, religion, sexual orientation, criminal records, government identifiers, or financial-account numbers) unless the law allows it and it is necessary;
  • you must respond to those people's requests about their data, and we will help you as described in the Privacy Policy.

6.5 Security of your account. Keep your email account secure and sign out on shared devices.

6.6 Your communications and outreach. Messages you send from a mailbox you connect (section 10.2), and any other marketing you carry out, are your communications. You are responsible for:

  • complying with anti-spam, electronic-marketing, telemarketing and data-protection laws wherever the recipient is, for example CAN-SPAM and the TCPA in the US, the GDPR, the ePrivacy rules and PECR in the EU and UK, CASL in Canada, and equivalent rules in Australia, Turkey, South Korea and the Gulf states;
  • having consent where the law requires it, identifying yourself and your business, including any required postal address and an opt-out, and honouring opt-outs promptly;
  • adding people and domains that must not be contacted to your do-not-contact list. The Service checks that list before every message sent from a connected mailbox and refuses to send to a listed address or domain;
  • the rules of your email provider (Google or Microsoft), including its sending limits.

To limit misuse, the Service sends one message at a time, to one contact already in that business's CRM, only after you review it and press Send, and applies sending limits per mailbox. WhatTrust never uses its own email service (for example the one that sends your sign-in codes and receipts) to send your outreach. A listed business phone number or website is not consent to marketing (section 3.5).

7. Acceptable use

You must not use the Service, including the AI Business Agent, your website and connected mailboxes, to:

  • break any law or regulation, or help anyone else do so;
  • create, buy, sell or publish fake, incentivised-without-disclosure or AI-fabricated reviews or testimonials, or misrepresent anyone's experience of a product or business;
  • make false or unsubstantiated earnings, income, health or performance claims in your own marketing or on your website;
  • send spam or unlawful outreach, including messages, calls or texts that breach anti-spam, telemarketing or data-protection laws (for example CAN-SPAM, the TCPA, the GDPR and ePrivacy rules, PECR, CASL, and equivalent laws), or that ignore opt-outs;
  • get around sending limits, the do-not-contact list or any other safeguard, or use several mailboxes or businesses to do so;
  • contact private individuals found through the Service where the law does not allow it, or combine business listings with other data to profile individuals;
  • harass, deceive or impersonate any person or business;
  • infringe anyone's intellectual property, privacy or publicity rights, including in content you upload to or approve for your website;
  • host malware, phishing pages, illegal content or content that infringes rights on your website, or use it for resource-intensive purposes described as outside fair use in the Website and Domain Service Terms;
  • upload malware, probe or attack the Service, bypass its security, metering or rate limits, or access data that is not yours;
  • scrape the Service, or copy research outputs at scale for resale as a competing research product;
  • reverse-engineer the Service except where the law expressly allows it;
  • build or promote securities, crypto-asset, gambling or other investment schemes, pyramid or multi-level schemes, or any illegal products or services;
  • give false information to obtain the first-month price, avoid suspension or create duplicate accounts.

We may refuse a request, remove or unpublish content, pause sending or the AI Business Agent, or suspend an account that breaches this section (section 16).

8. Intellectual property and your content

8.1 Your inputs and content. You keep all rights in the information and content you give us, including text, images, logos and other material you upload or ask us to use on your website, and the records you keep in your CRM ("Inputs"). You confirm that you own your Inputs or have the rights needed for us to use them as described in section 8.5.

8.2 Your outputs. As between you and us, and subject to section 8.3, you own the reports, plans, drafts, website content and other results generated for you ("Outputs"), and you may use them for any lawful purpose. Outputs may be similar to outputs generated for other customers, because they rely on the same public sources and methods; you do not get exclusive rights in ideas, opportunities, market facts or public information.

8.3 Third-party material. Reports cite and summarise third-party sources (for example statistics, web pages and data providers). Those sources remain owned by their owners and are subject to their own licences. Business listings from OpenStreetMap are © OpenStreetMap contributors and available under the Open Database Licence; if you build your own database from them, that licence may apply to it. Your ownership of Outputs does not include ownership of third-party material, and you must follow the source's terms if you reproduce it.

8.4 Our platform. We and our licensors own the Service: software, design, branding, the WhatTrust name and logo, methods, website templates and design components, the evidence-quality standard and the shared Research Memory (licensed, non-personal market evidence and our own analysis). Except for the rights in section 8.2, these Terms do not give you any rights in them.

8.5 Licence to us. You give us a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit and display your Inputs and Outputs only as needed to provide, secure and support the Service for you, including to publish and serve the website versions you approve to the public, to comply with law, and to keep the records described in the Privacy Policy. We do not put your Inputs, Outputs or CRM data into the shared Research Memory, and we do not use them to serve other customers. We do not use your data to train AI models or to build knowledge shared across customers.

8.6 Feedback. If you send us suggestions, we may use them without obligation to you.

8.7 Notices of infringement. If you believe content on a website hosted by WhatTrust infringes your rights, send a notice to our designated copyright agent (Copyright Compliance Department, info@tmd360tech.com; US Copyright Office registration DMCA-1084735) as described in our Copyright (DMCA) notice at whattrust.com/legal/copyright/, which also explains counter-notices and our repeat-infringer policy.

9. AI-assisted recommendations and research limits

9.1 Parts of the Service use automated analysis and artificial intelligence, including language models provided by OpenAI. AI output can be inaccurate, incomplete, out of date or inappropriate, even when it sounds confident. A recommendation, ranking, score, strategy or "next best action" is a suggestion to help you decide; it is not a decision made for you and not a promise of a result.

9.2 Research limitations. Reports label which findings are verified evidence from a cited source and which are estimates, assumptions or projections, and they show their sources and dates. But sources themselves can be wrong, incomplete, out of date or unavailable for your country, city or niche, and a source that was accurate when collected may since have changed. Forecasts, market sizes, prices, demand signals, competitor information and earnings scenarios are estimates. A gap in the evidence is not proof that a market does or does not exist. Business listings used to find organisations are community-maintained and may be outdated; verify an organisation before contacting it.

9.3 Web content is treated with caution. When the Service reads web pages or other external content, it treats that content as information to assess, not as instructions. Content from third parties can still be misleading.

9.4 You must review every Output, and especially anything the AI Business Agent drafts, before you rely on it, send it, publish it or act on it. Publishing a website version and sending a message always wait for your explicit approval.

9.5 Regulated professional advice. WhatTrust is not a law firm, accounting firm, tax adviser, financial or investment adviser, broker, insurer or licensing authority. Outputs that touch on legal structure, contracts, licences, permits, tax, accounting, financing, insurance or regulated activities are general information to help you prepare questions. They are not advice for your situation. Before you act on such a topic, and wherever the law requires a licensed professional or an official authority, obtain advice from a qualified professional or the relevant authority in your country.

10. Third-party services and integrations

10.1 The Service relies on third parties, including Stripe (payments), our hosting and database providers, AI and market-data providers, and public data sources. Their availability and accuracy are outside our control. The Privacy Policy lists the providers that process personal data for us.

10.1A Third-party services you use are separate. Platforms, marketplaces, payment providers, advertising networks, email providers, domain registrars, suppliers and other services that research or guidance mentions, or that you connect, are run by other companies. They decide on their own whether to approve your account, listing, advertising or application; they set their own policies, fees and limits; and they may change, suspend or withdraw their services, or their access for WhatTrust, at any time. Your agreement with each of them is separate from these Terms, and you pay their fees directly, including the cost of registering and renewing your domain. A mention in a report is not an endorsement or a promise that the service will accept you or stay available.

10.2 Connections. You can connect accounts that you own, for a specific business, using the platform's own sign-in (OAuth). You can disconnect at any time. Your use of each account remains governed by that platform's terms. Connections in the current build:

  • Gmail / Google Workspace and Outlook / Microsoft 365 (send-only): WhatTrust asks only for permission to send email as you (Google gmail.send; Microsoft Mail.Send and User.Read to identify the mailbox). WhatTrust cannot read your inbox. A message is sent only after you review it and press Send, to one contact in that business's CRM. When you disconnect, Google access is revoked at Google and the stored Microsoft access is deleted from WhatTrust; you can also remove WhatTrust's access in your Microsoft account settings;
  • read-only statistics: Google Analytics and Search Console, YouTube channel statistics, Facebook Page insights, Instagram professional account (followers and post counts), TikTok (followers, likes and video counts), LinkedIn Pages (followers);
  • Facebook Lead Ads: leads submitted on your business's own Facebook lead forms are imported into your CRM;
  • Shopify, Etsy and eBay: paid order totals only (no buyer names, emails or addresses) are recorded once each as income in your money records.

Apart from sending messages you approved from your own mailbox, WhatTrust never posts, publishes, messages or charges anything on these platforms. The Privacy Policy explains what data each connection uses. Some connections are available only after the platform approves WhatTrust's application.

10.3 Payments to WhatTrust are processed by Stripe. We do not receive or store your full card number. Stripe's own terms and privacy policy apply to the payment.

11. No guaranteed outcomes; business risk

11.1 WhatTrust does not promise or guarantee any outcome, including revenue, sales, profit, income, employment, customers, clients, contracts, website visitors or enquiries, replies to outreach, a first paying customer, or business success. Starting or running a business involves financial and operational risk, and you may lose money you spend on it. An opportunity can fail even after careful research. Results depend on market conditions, your own decisions, capital, execution, competition, regulation and other factors outside our control.

11.2 WhatTrust research is evidence-based analysis, not a guarantee. Any figure in a report (for example a price point, demand signal or market estimate) describes the market or an assumption, not what you will earn. Many new businesses earn little or nothing.

11.3 We have no data showing what typical WhatTrust customers earn, and we do not represent that you will, are likely to, or can earn more than you pay us.

11.4 At checkout you are asked to confirm this in a separate Business Risk Acknowledgment. That acknowledgment records your understanding. It does not excuse us from any misleading statement we make, and it does not remove any right you have by law.

11A. Earnings scenarios

11A.1 Free results and some workspace panels show earnings scenarios: illustrations of what a business direction could produce under assumptions that are stated next to the figures. We show a base case, an optimistic case and a "no paying clients" case. The optimistic case is a conditional upside that depends on its stated assumptions coming true; it is not the expected result. The "no paying clients" case shows zero revenue, with your costs becoming a loss.

11A.2 These figures illustrate possible outcomes under the stated assumptions. They are not actual or guaranteed earnings, and they do not predict your personal results. Your outcome depends on your skills, experience, available time, effort, capital, ability to attract customers, market conditions and expenses. Actual results may be lower, zero or negative. The optimistic case is a conditional scenario, not the most likely outcome.

11A.3 Scenarios show revenue, fees, running costs, operating profit and after-tax figures separately. We do not call a figure "profit" or "income" when the costs needed to calculate it are unknown. Where a starting hourly price is suggested, it is based on the average pay of employees in a broad occupation group in your country, published by the International Labour Organization (ILO). It is a starting value for you to adjust, not a price you can expect to charge as a freelancer or business owner. You can edit the assumptions. Sources, dates, geography and currency (US dollars) are shown with the figures.

11A.4 Section 11.3 applies to every scenario: we have no data on what typical WhatTrust customers earn.

12. Disclaimers

12.1 What we do promise. We will provide the Service with reasonable care and skill, as described in these Terms, and we will fix or refund under the Subscription, Refund and Cancellation Policy when it fails on our side.

12.2 Except as stated in these Terms and to the extent the law allows, the Service and Outputs are provided "as is" and "as available". We do not warrant that the Service will be uninterrupted or error-free, that any opportunity will succeed or produce any result, that research covers every relevant source, that business listings are accurate or current, that any email will be delivered, or that third-party data is accurate, complete or current. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.

12.3 This section does not apply to the extent your local law gives you guarantees or rights that cannot be excluded, such as the consumer guarantees under the Australian Consumer Law, the statutory rights of consumers in the UK (Consumer Rights Act 2015) and the EU/EEA, and similar laws elsewhere.

13. Limitation of liability

13.1 What we are not liable for. To the extent the law allows, we are not liable for:

  • (a) indirect, incidental, special, consequential or punitive loss;
  • (b) loss of profits, revenue, income, business, opportunity, goodwill or anticipated savings;
  • (c) losses arising from your business decisions, including reliance on forecasts, estimates, opportunity rankings, recommendations or third-party data, where we provided the Service with reasonable care;
  • (d) the content, accuracy or availability of third-party sources, platforms, listings or services;
  • (e) any message, publication, record change, outreach or other action that you approved, sent or published, including messages sent from your connected mailbox and actions the AI Business Agent carried out after your approval;
  • (f) losses caused by your breach of these Terms, inaccurate Inputs, or unauthorised access to your email account that was not caused by us;
  • (g) decisions, fees, approvals, refusals, suspensions or outages of third-party services (section 10.1A), including your domain registrar or DNS provider.

13.2 Cap. To the extent the law allows, our total liability for all claims relating to the Service in any 12-month period is limited to the greater of (a) the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, and (b) US$100 (to be confirmed).

13.3 What is never limited. Nothing in these Terms excludes or limits our liability for:

  • fraud or fraudulent misrepresentation;
  • wilful misconduct or deliberate breach;
  • gross negligence, where the applicable law does not allow it to be limited;
  • death or personal injury caused by our negligence;
  • our obligation to pay refunds or other remedies we promise in the Subscription, Refund and Cancellation Policy;
  • any liability or right that cannot be excluded or limited under applicable law, including non-excludable consumer guarantees and statutory remedies, and statutory rights that cannot be waived.

13.4 Where your law does not allow this. If the law of your country, state or province does not allow some or all of the exclusions or limits in this section, they apply to you only to the extent that law allows, and you may have additional rights.

13.5 The limits in this section reflect the price of the Service and the allocation of risk between us.

14. Indemnity

14.1 If you use the Service for business purposes, you will compensate us for reasonable losses and costs (including reasonable legal fees) arising from a third-party claim to the extent it results from:

  • your business, products or services;
  • content you upload, publish or send, including your website and messages sent from your mailbox, or outreach you approve or carry out (including through the AI Business Agent);
  • personal data in your CRM that you collected or used without a lawful basis; or
  • your breach of section 6 or section 7 or of the law.

14.2 This does not apply to the extent the claim results from our own breach, negligence or misconduct. We will tell you promptly about any claim, let you take part in its defence, and not settle it in a way that admits fault on your behalf without your consent.

14.3

15. Records and evidence

We keep records of your acceptance of these Terms and other acknowledgments (including your age confirmation, your request to start research within a withdrawal period, and each separate consent to an optional purchase with the exact charge text you saw), any withdrawal from the contract, your payments and subscription changes for each business (including a Resume of a scheduled cancellation), research commencement and delivery, AI agent credit grants and use, AI Business Agent approvals, website approvals and publications, your consent to each additional-website plan, domain go-live approvals, connections and disconnections, messages sent from a connected mailbox, and account deletion. Legal and consent records are kept in tamper-evident, append-only form and may be used to provide the Service, resolve disputes (including card disputes) and meet legal obligations. The Privacy Policy explains what is recorded and for how long.

16. Suspension and termination

16.1 By you. You can cancel a business subscription at any time (section 4.7) and delete your account in Account settings → Privacy & data → Delete my account. Deleting your account cancels your first business subscription and any additional-website plans immediately, without an automatic refund, as explained in the Subscription, Refund and Cancellation Policy.

16.2 By us — suspension. We may suspend all or part of the Service, including pausing outreach from a connected mailbox, the AI Business Agent or customer discovery, or unpublishing a website, with notice where practical, if:

  • you seriously or repeatedly breach these Terms, especially section 6.6 or section 7;
  • we receive a credible complaint or legal notice about your website or messages;
  • we reasonably suspect fraud, unauthorised payment or a security threat;
  • your use goes well beyond fair use and you do not agree a solution with us (Website and Domain Service Terms);
  • we must do so by law or at the request of a competent authority; or
  • a payment fails, or a card dispute is open on a subscription payment (paid operations for that business pause while the dispute is open; this is not a penalty for disputing a charge).

We will tell you why, where we lawfully can, and restore the Service when the reason no longer applies.

16.3 By us — termination. We may end these Terms on 30 (to be confirmed) days' notice for any reason, or immediately for serious breach, fraud or legal requirement. If we end them without cause, we will refund the unused part of any period you have paid for.

16.4 What survives. Sections 8, 11, 11A, 12–15, 16A, 19–22 and any accrued payment or refund obligations survive termination.

16A. Your data: retention and export

16A.1 You can download your account data at any time in Account settings → Privacy & data → Export my data. The Privacy Policy (section 10) lists exactly what the export contains and what it does not yet include; you can ask us for the rest.

16A.2 When a business subscription ends, the records of that business stay in your account so you can reactivate or export them, until you delete them or your account. When you delete your account, we delete or redact your workspace data and keep only the records the Privacy Policy lists, for the reasons it gives.

17. Changes to these Terms

17.1 We may update these Terms to reflect changes to the Service, the law or our business. For a change that materially affects you, we will tell you at least 30 (to be confirmed) days in advance by email or in the Service. If you do not agree, you can cancel before the change takes effect; continuing to use the Service after that date means the new Terms apply.

17.2 We will not apply a change retroactively, and we will not change the price of a period you have already paid for. Records of what you accepted earlier keep the version you accepted.

17.3

18. Notices

18.1 We will send notices to the email address on your account or show them in the Service. The confirmations listed in section 4.12 are sent by email.

18.2 You can send notices to us at (to be confirmed) and, for legal notices, to Twilight Media Design Corporation, (to be confirmed).

19. Governing law

19.1 US customers. These Terms are governed by the laws of the State of (to be confirmed) and applicable US federal law, without regard to conflict-of-laws rules.

19.2 Customers outside the US. If you are a consumer living outside the US, the law chosen in section 19.1 applies only to the extent it does not deprive you of the protection of mandatory laws of the country where you live, and you can bring proceedings in the courts of the country where you live.

20. Disputes

20.1 Talk to us first. Before starting any formal claim, please contact us at (to be confirmed) and describe the issue. We will try to resolve it within 60 (to be confirmed) days. This does not stop you contacting your card issuer or a consumer authority, and it does not pause any legal time limit that applies to you.

20.2 Arbitration (US customers only).

If you live in the United States, you and we agree that any dispute relating to these Terms or the Service that is not resolved under section 20.1 will be resolved by binding individual arbitration, except as stated below.

  • (a) Administrator and rules. We will pay the filing, administrative and arbitrator fees that those rules assign to the business, and we will not seek our legal fees from you unless the arbitrator finds your claim frivolous.
  • (b) Small claims. Either of us may instead bring an individual claim in small-claims court if it qualifies.
  • (c) Intellectual property and injunctions. Either of us may go to court to stop infringement or misuse of intellectual property or unauthorised access to the Service.
  • (d) Individual claims only. To the extent the law allows, claims may be brought only individually, not as a class, collective or representative action. If this sentence is found unenforceable for a claim, that claim (and only that claim) will proceed in court, and the rest of section 20.2 still applies. Public injunctive relief, where the law says it cannot be waived, may be sought in court.
  • (e) Mass filings. If 25 or more similar demands are filed by or with the help of the same law firm or coordinated group, they will be administered in batches under the administrator's mass-arbitration procedures, and limitation periods are paused for the waiting claims.
  • (f) 30-day opt-out. You can opt out of arbitration by emailing (to be confirmed) within 30 days of first accepting these Terms, with your name, account email and a statement that you opt out. Opting out does not affect any other part of these Terms.
  • (g) Changes. If we change this section 20.2, the change does not apply to a dispute you have already notified to us.

20.3 Where arbitration does not apply. Section 20.2 does not apply to you if you are a consumer in the EU/EEA, the United Kingdom, Switzerland, Australia, Québec, Ontario, Turkey, South Korea, or any other country, state or province where pre-dispute consumer arbitration or class-action waivers are not permitted or not enforceable. You keep the right to bring claims in your home courts and to use any consumer dispute body, such as the Turkish Consumer Arbitration Committees.

20.4 Courts. Disputes not subject to arbitration go to the courts of (to be confirmed), except that consumers may also sue, and may only be sued, in the courts where they live, where their law gives them that right.

21. Your statutory rights

Nothing in these Terms limits:

  • your rights as a consumer under the laws of the place where you live, including withdrawal or cooling-off rights (section 4.11), consumer guarantees, refunds the law requires, and rights when a price changes;
  • your right to dispute a charge with your card issuer or bank;
  • your right to complain to a consumer-protection or data-protection authority.

22. General

22.1 Entire agreement. These Terms and the documents in section 1.3 are the whole agreement about the Service. 22.2 Severability. If a court finds part of these Terms unenforceable, the rest stays in effect, and the unenforceable part is applied to the greatest extent the law allows. 22.3 No waiver. If we do not enforce a right immediately, we can still enforce it later. 22.4 Assignment. You may not transfer these Terms without our consent. We may transfer them to an affiliate or a buyer of our business, if your rights are not reduced; we will tell you. 22.5 Force majeure. Neither of us is responsible for delays caused by events beyond reasonable control. This does not remove any refund owed for a service we did not provide. 22.6 Language.
